By downloading, installing, accessing, or otherwise using the Cemod application (the "Software"), you affirm that you have read, understood, and agree to be bound by this End User License Agreement (the "Agreement"). This Agreement constitutes a legally binding contract between you and Cemod.
If you do not agree to any provision of these terms, you are not authorised to use the Software and must immediately cease all use and delete all copies from your devices. This Agreement becomes effective upon your first use of the Software.
Subject to your compliance with this Agreement, Cemod grants you a personal, non-exclusive, non-transferable, revocable license to use the Software for lawful, personal, non-commercial purposes. This license does not confer any ownership rights and is limited in scope.
You are expressly prohibited from:
You confirm and guarantee that you are aged 13 or above, or have otherwise attained the age of digital consent where you reside. Responsibility for keeping any login details confidential rests solely with you, as does every action performed through your use of the App.
You undertake to submit truthful, current, and complete details, and to revise them whenever they change so they remain accurate.
All intellectual property rights embodied in the Software — including but not limited to source code, visual interfaces, graphical assets, trademarks, service marks, and textual content — are exclusively owned by Cemod or its licensors. These rights are protected by copyright, trademark, patent, and other intellectual property laws.
This Agreement does not convey to you any right, title, or interest in or to any intellectual property of Cemod, except for the limited license expressly granted herein. Any unauthorised reproduction, adaptation, distribution, or use of our intellectual property may result in legal liability.
You retain full ownership of any content you create, upload, or submit through the Software ("User Content"). By posting User Content, you grant Cemod a worldwide, royalty-free, non-exclusive license to host, store, display, and transmit such content solely for the purpose of operating and delivering the Service.
This license terminates automatically when you delete your content or your account, except where retention is required by applicable law or necessary to comply with legal obligations. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights.
You bear exclusive responsibility for all activities conducted through your account. You agree not to engage in any prohibited conduct, including but not limited to:
Violation of these obligations may result in immediate suspension or termination of your account without prior notice.
Cemod may terminate this Agreement with immediate effect, with or without prior notice, if you breach any material term or condition. Upon termination, your license is revoked, and you must delete the Software from all devices under your control.
You may also terminate this Agreement at any time by ceasing all use of the Software and deleting it from your devices. Provisions concerning intellectual property, liability, indemnification, and disclaimers shall survive any termination.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEMOD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Software will be uninterrupted, error-free, or free of viruses, malware, or other harmful components. You assume full responsibility and risk for your use of the Software.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CEMOD OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claims arising out of or relating to this Agreement shall not exceed the greater of (a) the amount you paid to us for use of the Software during the twelve (12) months preceding the claim, or (b) one hundred United States dollars ($100 USD).
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator of Cemod is established, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Software shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
You agree that any arbitration shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You voluntarily waive any right to a jury trial or to participate in a class action. The arbitrator's decision shall be final and binding and may be enforced in any court of competent jurisdiction.
Cemod reserves the right to update or modify this Agreement at any time. If we make material changes, we will notify you through in-app notifications, email, or other reasonable means.
Your continued use of the Software after the effective date of any changes constitutes your acceptance of the revised terms. It is your responsibility to review this Agreement periodically. If you do not agree to the revised terms, you must cease using the Software and delete it from all your devices.
